©1. Intellectual Property Ownership

All content, software, methodologies, frameworks, classification logic, prompt architectures, financial models, transformation assessments, migration plans, and AI-generated outputs produced by or through the Velantix Axiom platform are the exclusive intellectual property of Velantix LLC and are protected by United States copyright law, trade secret law, and applicable international intellectual property treaties.

The Velantix Axiom name, Velantix name, and associated logos, marks, and trade dress are proprietary to Velantix LLC. Trademark applications are pending with the United States Patent and Trademark Office. Unauthorized use is prohibited.

📄2. Generated Output Ownership

Transformation assessments, executive reports, financial models, migration wave plans, architecture blueprints, workload classifications, and all other deliverables generated by or through the Velantix Axiom platform ("Generated Outputs") are the proprietary work product of Velantix LLC.

Generated Outputs are licensed — not sold — to the engaging organization under the terms of the applicable Master Services Agreement or Statement of Work. All rights not expressly granted in writing are reserved by Velantix LLC.

✅3. Permitted Use of Generated Outputs

Generated Outputs are licensed solely for the internal business use of the organization that commissioned the assessment. Permitted use includes internal review, executive decision-making, infrastructure planning, and migration program governance.

The following are expressly prohibited without the prior written consent of Velantix LLC:

(a) Redistribution, resale, or sublicensing of Generated Outputs to any third party;
(b) Use of Generated Outputs to train, fine-tune, or develop any artificial intelligence model, machine learning system, or competing analytical tool;
(c) Reverse engineering of the classification logic, weighting models, financial modeling methodology, or prompt architecture embedded in or implied by Generated Outputs;
(d) Publication or public disclosure of Generated Outputs in whole or in part without written authorization;
(e) Use of Generated Outputs in any legal, regulatory, or arbitration proceeding without written authorization from Velantix LLC.

🔒4. Customer Data Rights

Infrastructure data uploaded to or processed by the Velantix Axiom platform ("Customer Data"), including RVTools exports, VMware inventory data, cost inputs, and environment configurations, remains the sole property of the uploading organization.

Velantix LLC will not:

Sell, transfer, or disclose Customer Data to third parties;
Use Customer Data to train or improve AI models without explicit written consent;
Retain Customer Data beyond the engagement period except as required by applicable law or as agreed in writing.

Customer Data is processed solely for the purpose of generating the commissioned transformation assessment and related deliverables.

🤖5. AI-Assisted Analysis Disclosure

Velantix Axiom uses artificial intelligence, including large language models provided by third-party AI platforms, to generate narrative analysis, workload reasoning statements, executive summaries, and supporting commentary within transformation assessments.

AI-assisted content is reviewed and validated against deterministic classification outputs and structured financial models. However, AI-generated narrative is advisory in nature and does not constitute professional engineering, financial, legal, or regulatory advice.

Core classification logic, cost calculations, and financial modeling are performed by Velantix Axiom's deterministic processing pipeline. AI is used for narrative generation only — never for primary workload classification or cost calculation.

Organizations should independently validate all recommendations before making infrastructure, financial, or procurement decisions.

⚠️6. No Warranty

Generated Outputs and all content provided through the Velantix Axiom platform are provided for planning and decision-support purposes only. Velantix LLC makes no representations or warranties, express or implied, regarding the completeness, accuracy, or fitness for any particular purpose of any Generated Output.

Financial projections, savings estimates, TCO models, and break-even timelines are illustrative planning tools based on data provided by the customer and reasonable industry assumptions. Actual results will vary based on implementation decisions, vendor pricing, organizational factors, and market conditions outside Velantix LLC's control.

⚖️7. Limitation of Liability

To the maximum extent permitted by applicable law, Velantix LLC's total liability arising from or related to Generated Outputs shall not exceed the fees paid by the engaging organization for the applicable assessment engagement.

Velantix LLC shall not be liable for indirect, incidental, consequential, or punitive damages arising from reliance on Generated Outputs.

🔗8. Third-Party References

Velantix Axiom assessments may reference third-party products, platforms, vendors, and pricing data including but not limited to VMware, Broadcom, Microsoft, Nutanix, Red Hat, Proxmox, Amazon Web Services, and Google Cloud. Such references are for informational and comparative planning purposes only.

Velantix LLC is not affiliated with, endorsed by, or sponsored by any referenced third-party vendor. All third-party trademarks and product names are the property of their respective owners.

🏛️9. Governing Law

These Legal Notices are governed by the laws of the State of Texas without regard to conflict of laws principles. Any disputes shall be resolved in Bell County, Texas, consistent with the terms of the applicable Master Services Agreement.
